1. Acceptance of Terms

By accessing or using the SpinFlow.ai website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, and clients of SpinFlow.ai.

2. Description of Services

SpinFlow.ai provides custom web application development, platform design, and ongoing hosting and maintenance services. We build bespoke business platforms that combine website functionality with backend operational tools - including but not limited to CRM systems, invoicing, customer portals, booking systems, dashboards, and AI integrations. Each project is scoped and built to the specific needs of the client.

3. Pricing & Payment

All SpinFlow projects are priced on a custom-quote basis following a discovery consultation. Pricing is structured as a monthly subscription that covers platform hosting, maintenance, updates, and ongoing support. Payment terms, billing cycles, and specific costs are outlined in individual client agreements. Failure to maintain payment may result in suspension of services after reasonable notice.

4. Intellectual Property

Client Content

You retain full ownership of all content, data, branding materials, and proprietary business information you provide to us. We will never use your content for purposes outside of your project without explicit permission.

SpinFlow Platform & Methodology

SpinFlow retains ownership of its platform architecture, development methodologies, proprietary tools, reusable code libraries, and AI integration frameworks. The custom configuration and implementation built for your business is licensed to you for the duration of your subscription.

5. Client Responsibilities

You agree to provide accurate information during onboarding, respond to project communications in a timely manner, and use the platform in compliance with all applicable laws. You are responsible for maintaining the confidentiality of any login credentials provided to you.

6. Service Availability

We strive to maintain 99.9% uptime for all hosted platforms. However, we do not guarantee uninterrupted access and are not liable for downtime caused by scheduled maintenance (with advance notice), force majeure events, third-party service outages, or actions taken by you or your users.

7. Limitation of Liability

To the maximum extent permitted by law, SpinFlow.ai and its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

8. Termination

Either party may terminate the service agreement with 30 days' written notice. Upon termination, we will provide a reasonable period to export your data. We reserve the right to terminate services immediately if you violate these terms, engage in illegal activity using the platform, or fail to make payment after reasonable notice.

9. Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with applicable rules, with proceedings conducted in English.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which SpinFlow.ai operates, without regard to conflict of law principles.

11. Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or prominent notice on our website. Continued use of our services after changes constitutes acceptance of the updated terms.
